Welcome to Niagora. This Terms & Conditions document ("Agreement") governs your access and use of the Niagora B2B e-procurement platform. By registering and using our services, whether as a Buyer or a Seller, the legal entity you represent agrees to all the terms stated below.
1. Legal Entity Registration (KYB)
The Niagora platform is intended specifically for business-to-business (B2B) transactions. Therefore:
- You must represent a valid legal corporate entity recognised in the jurisdiction of the Republic of Indonesia (PT, CV, Firma, or other recognised forms of business).
- Registration must go through a Know Your Business (KYB) verification process by uploading original documents (NIB, Corporate Tax ID/NPWP, Director's ID Card, and other relevant documents).
- Niagora Admins reserve the right to reject registrations or suspend accounts if indications of forged documents or fictitious entities are found.
2. Escrow and Payment System
Niagora acts as a mediator (escrow) for the security of both parties, under the following conditions:
- Order payments by the Buyer must be made to the official Niagora holding account (Virtual Account). Payments outside the platform are not protected by this policy.
- Funds will be held by our system until the Buyer approves the Delivery Order (DO) document or Goods Received in the system.
- Once the DO is approved, funds will be released automatically to the Seller's Wallet, minus platform service fees or external integration fees (if any).
- The Seller cannot demand fund disbursement before the goods are confirmed received by the Buyer.
3. Price Contracts & Transactions
The platform supports price negotiations (RFQ) and the creation of B2B contracts. In this regard:
- Price Lock: The Seller binds themselves to the price agreed upon in the contract with the Buyer for the agreed duration. The Seller does not have the right to unilaterally change the price for transactions using that contract.
- The system will detect catalogue price changes; if the Seller changes the price outside the agreed tolerance limit, the Niagora system will trigger a Re-approval workflow in the Buyer's hierarchy.
- Automatic cancellation (Auto-cancel) applies to orders that do not receive internal Buyer approval or are not processed by the Seller within the operational time limit (SLA).
4. Taxation
Niagora is an electronic platform provider (PMSE), not a seller of goods.
- The platform does not issue Tax Invoices for traded goods. The issuance of VAT Tax Invoices is entirely the obligation of Sellers with Taxable Entrepreneur (PKP) status and is addressed to the Buyer's entity.
- Niagora only issues tax invoices/invoices for platform service fees (if a paid plan applies) charged to subscribed customers (PRO Buyer/PRO Seller).
5. Limitation of Liability
Niagora strives to provide a secure platform with the best uptime. However:
- We are not responsible for the quality of physical goods delivered by the Seller. In the event of a quality dispute, the dispute process is carried out between entities before DO confirmation.
- We are not liable for data damage caused by the misuse of sub-account access by your own company's internal employees. The determination of access rights is the responsibility of the main administrator (Director/Owner) in your account panel.
6. Changes to Terms
Niagora may update these Terms & Conditions at any time. Material changes will be notified to all users via email at least 14 (fourteen) days before the changes take effect.
